Deputy Head of CoSec Function / Senior Corporate Officer - New Growing Function within Reputable Asset ManagerOne of our Clients, an International Asset Manager, is looking for a Company Secretary.

The team is small but has great plans to grow from 3 people to more in the next year. They are very keen for organic growth and ambitious attitudes so would like someone who wants to be at a good senior level or Deputy Head of Department in the next 3 / 5 year.

  • The manager of the team is inspiring, with a varied background in the fund and financial industry in Luxembourg.He is prepared to be flexible on experience;
  • people coming from the banking cosec division, funds and domiciliation, as well as 'Big 4' type backgrounds.Overview of roleThe candidate’s principal responsibility will be to provide professional company secretarial services to Luxembourg-

    based Private Assets Operations team that service private equity, real estate, private debt and infrastructure funds, and to the local management company.

    The role will be based in Luxembourg and the role reports directly to the Head of Governance Europe, who is based in Luxembourg and will be part of the wider company's Group Corporate Secretariat in London.

    Main Duties : The candidate will be responsible for : ·Providing company secretarial services to the local company's management company and its branches and various committees as agreed with the Head of Governance -

    Europe. This includes organisation and support for at least 4 quarterly board meetings held in Luxembourg or other offsite locations and involves : -

  • agreeing agenda items;- collating board packs- following up on action points and drafting accurate minutes- acting as the point of contact for the board members and both internal and external advisers;
  • and- providing advice and assistance to directors and senior management.·Advising the Fund boards and the management company on governance matters.

    The candidate will play a critical role in the development of governance within the Luxembourg business and in helping to ensure that the corporate governance arrangements for both the management company and the Funds are appropriate and in line with best practice·Liaising with internal teams including Private Asset Operations, Investment, Product Development, Legal and Compliance to keep abreast of new business developments (e.

    g. launch of new funds, special purpose vehicles, fund closures, restructuring and prospectus updates) impacting on the funds, advising on related corporate governance matters including the impact on the management company and regulated and non-

  • regulated funds and investment structures, CSSF circulars and other regulation and arranging ad hoc board approvals through telephonic meetings and the use of circular resolutions;
  • Arranging the annual and extraordinary shareholder meetings for the funds from a corporate secretarial perspective, including preparation of notices, proxies and minutes, facilitating and advising at the meetings;
  • Liaising with legal advisers and with the Luxembourg commercial register to arrange for the filing of accounts with the CSSF and the commercial register, changes to the boards etc;
  • Arranging for board approval of annual and interim reports produced by the Luxembourg Fund Accounting team, helping to develop their format and contents to acknowledge best practice guidelines and any changes in statutory and regulatory disclosure requirements;
  • Attending to requests for notarisation of documents, certified copies of registers and board resolutions;·Providing technical advice to boards and other parties on statutory and regulatory requirements;
  • Responding to due diligence queries and information requests from client service teams;·Ensuring compliance with relevant regulatory and statutory requirements and keeping abreast of new developments and best practice;
  • Establishing and developing key record management systems for safekeeping of documents in Luxembourg or other domiciliary address and to ensure efficient and appropriate access to documents by local staff and the London office;
  • Maintenance of authorised signatories lists;·Developing, implementing and overseeing procedures for the efficient operation of the funds and the management company;
  • Contributing to corporate projects as required;·Providing company secretarial services to other company-managed private asset funds and investment vehicles as and when required;
  • Contribute to developing appropriate company secretarial standards for the company-managed private asset funds and investment vehicles in Europe;
  • Management and oversight of the work of the company secretarial assistant. Job requirementsEducation & Training / Qualifications : ·Chartered Company Secretary qualification or equivalent experience·At least 3 years previous experience in a similar environment (Fund Industry ideally);
  • Skills / Core Competencies : ·Excellent communication skills;·Excellent written and spoken English with French and German being and advantage;
  • Ability to hold the attention and respect of senior management;·Highly organised, able to prioritise and to deliver within strict deadlines;
  • Ability to work quickly and accurately under pressure with minimum supervision;·Analytical and highly disciplined
