As strategic partner to the Board of Directors, the General Manager of the iptiQs and other business and corporate functions located in Luxembourg and other European jurisdictions, you will act as Corporate Legal Counsel and Corporate Secretary, actively drive regulatory and corporate legal matters, ensure and foster the implementation of regulatory initiatives in close alignment with other business units and have the ability to transpose insurance regulatory requirements to new and creative insurance benefits or features.
What are the key responsibilities?
Be part of the Life Capital Legal Department and lead the corporate secretariat and corporate governance services for iptiQ EMEA L&H and iptiQ EMEA P&C in Luxembourg together with the Assistant Corporate Secretary.
Support other Legal functions in providing legal advice on all matters pertaining to Luxembourg law, in particular in the areas of corporate governance and regulatory compliance
Ensure efficient functioning of Board Meetings by organizing, preparing and post-processing those meetings together with the Assistant Corporate Secretary
Interact with regulatory bodies and senior management
Provide legal and regulatory advice for branch locations in conjunction with local counsel
Advise on regulatory issues related to acquisitions, joint ventures, new market entries, restructuring and the establishment of new licensed businesses
Operate systems and controls to detect, manage and control legal risks
Provide training and guidance to colleagues around the globe
Ensure integrity of the governance framework, being responsible for the efficient administration of the iptiQs, ensuring compliance with statutory and regulatory requirements and ensuring implemention of decisions made by the Board of Directors
Craft forms, templates and processes to build and ensure a compliant, scalable corporate environment that can fulfill its mission and purpose
Support ad hoc or unexpected regulatory investigations and examinations, material breach reporting and regulatory filings with respect to licensing
Collaborate with other members of the Swiss Re legal team regarding corporate organization and regulatory affairs
Engage and manage external legal counsel appropriately ensuring optimal resource efficiency
In this position, you will report to the Head of Legal Life Capital EMEA. Some travel required.
Are you up for the challenge?
You are a European lawyer with 5+ years of practical experience in corporate secretariat / housekeeping or corporate governance services, which you preferably developed in a global insurance organization or specialised law firm.
You demonstrate trust in leading and managing projects and complex assignments, including new or innovative structures.
You have multiple years' experience in :
Corporate, regulatory and capital markets law, especially good understanding of relevant European Directives and concepts of European law
Legal and regulatory issues relating to material outsourcing
Drafting corporate documents and other business records in the English language to a professional standard
Demonstrated execution and organisational skills, especially ability to manage a large number of files and to work under pressure in multidisciplinary teams
You are confident in your ability to drive matters independently while balancing the need to collaborate and maintain an appropriate level of communication and coordination with the rest your peers.
You demonstrate accountability, resilience when facing challenges and you are fully reliable, responsive and display a high level of energy.
You are recognised, by clients for the pragmatic advice you provide, your sense of urgency and commercial mindset and by colleagues, for being an excellent teammate, always happy to assist others, collaborating and fully transparent, and for your good sense of humour.
