About the Team

Our Corporate Solutions Legal EMEA regional team is composed of 10 Legal Counsel and Company Secretaries based in Bratislava, Johannesburg, London, Luxembourg, Madrid, Milan and Zurich.

We provide advice on direct insurance and reinsurance business for large corporates including property, casualty, professional liability, accident and health, and credit / surety lines, as well as corporate governance and corporate secretariat services for entities of the Business Unit Corporate Solutions in EMEA.

As dedicated partners of board and committee members of these subsidiaries, the team is also responsible for compliance with insurance regulations, corporate governance laws, as well as internal requirements.

About the Role

Serving as a technical legal specialist for the Corporate Solutions Legal EMEA team, focusing on insurance regulation, corporate governance and corporate secretariat services for the main carrier of Corporate Solutions doing business in the EMEA and the APAC region

Providing business enabling, corporate governance and regulatory advice to the General Manager

Organizing and documenting board and committee meetings

Implementing corporate governance & secretariat requirements and best practices

Enabling regional business growth while serving as a gatekeeper to prevent legal, regulatory and reputational harm

Focusing on analyzing complex and novel regulatory and legal issues and drafting transaction documents and legal advice memos

Collaborating with other members of the Corporate Solutions Legal EMEA Team and the wider Legal & Compliance Division

About you

Admitted to the bar in an EMEA country (admission in Luxembourg is a plus) or certified Company Secretary

Minimum of 5 years legal experience in a well-respected law firm or insurance carrier or as company secretary in a Luxembourg legal entity with regular exposure to Luxembourg insurance law and regulation as well as governance regulations

Significant experience in advising on insurance regulatory matters; insurance defence counsel experience with no other regulatory experience does not meet this requirement

Familiar with corporate governance requirements applicable to regulated companies and excellent organizational and minutes drafting skills as well as an eye for details

Confident in your ability to drive matters independently while balancing the need to collaborate and maintain an appropriate level of communication and coordination with your peers

Demonstrated resilience when facing challenges and fully reliable, responsive and displaying a high level of energy

Recognised by clients for your pragmatic advice, your sense of urgency and commercial mindset, and by colleagues for being a pro-active teammate with excellent inter-personal skill and agood team player

High integrity, with ability to apply the highest ethical standards and maintain independence as a lawyer or company secretary

Excellent writer and editor of written documents, proficient in English and French; other languages are a plus
