Paralegal MUR116 Greenfield is pleased to be working with a Real Estate investment trust.
In order to support their local teams, they are looking to recruit a Corporate Secretary.
The scope of this role is to the portfolio of legal entities in Europe, ensuring that all corporate matters are prepared, reviewed, signed and filed in accordance with local legal requirements.

The Role : Handle the full spectrum of corporate secretarial duties including Director’s Resolutions, Annual General Meeting and Extraordinary General Meeting document, update of statutory registers Organisation of board meetings and shareholders' meetings (ordinary and extraordinary general meetings) Preparation of corporate documents (minutes, shareholders’ meetings, agreements, proxies, resolutions, intercompany loans, payment direction letters, powers of attorney) Organize & maintain all physical document storage in the Luxembourg office including accounting documents and corporate books for all Luxembourg entities.
Coordinate board, shareholder and annual meetings that take place by phone & ensure all shareholder resolutions are signed Liaise with in house legal counsel and third-
party legal counsel to ensure all transactional documents are created & signed Implement an organized system for storing soft copies of all legal documentation Gather all appropriate signatures on all legal documents, and send copies to the relevant teams as required Assist in formation of new entities and ensure all required documents are executed Coordinate with bank on new accounts and changes to existing accounts Oversee accounting office functions to ensure operations are running smoothly and efficiently Your Profile : Relevant Master’s degree Highly organized with attention to detail Experience in corporate administration and company law -
ICSA qualification would be an asset Experience drafting minutes and written resolutions is preferred Fluent English speaker, German and / or French is an asset Ability to work independently and communicate effectively with all the team in Luxembourg and other locations.
