Corporate Director - Major Real Estate Investor

This is a broad Luxembourg Director role which requires a strong operational understanding of the alternative investment business.

As the business works extensively through Luxembourg, the main requirement of the role is to manage effectively the operations outsourced to any third-

party suppliers, and the business relationships with those key suppliers.

This could be a range of accounting, legal, corporate and tax responsibilities, and so the person needs to have a good broad experience of these areas, especially in relation to handling transactions for an AIF.

We are looking for a naturally proactive and organised individual, with good knowledge in the space, as they will be have to be self-

managing for a large amount of the time.

The right candidate will come with a strong operational background of working within a Real Estate or Private Equity Asset Management Firm, and strong internal and external client handling-

skills. The candidate will have a solid knowledge of the Luxembourg regulatory framework, and a good track record of delivery in busy and time pressurised environments.

We are looking for a highly qualified, astute transaction professional who has a broad range of knowledge, including accounting and corporate, with over 8 years of experience in working within the asset management space.

In addition to being a strong transaction manager, the ideal candidate will have gained experience of working within an illiquid fund environment, and will be able to support the various needs of the business throughout the investment life cycle.

They will be highly motivated, committed and passionate about their work, and bring with them fresh ideas and a great work ethic.

As this person will act as a Board Director on some entities, a commitment to thinking smartly about investments and risk, is key, as is also being flexible to attend board meetings and sign resolutions as needed.

Key Responsibilities :

  • Actively coordinate deal closing activities including acquisitions, restructuring, refinancing and disposals
  • Oversee documentation preparation / execution, funds flow, funding, board & internal approvals
  • On-board new investments / structures
  • Oversee external service providers
  • Ensure good maintenance of local corporate, legal, tax and accounting records
  • Budgets and forecast
  • Manage distributions from investments and to the funds including funds flow and documentation
  • Optimise cash management
  • Coordination of various work streams with external advisors (Tax, lawyers), banks and auditors
  • Oversee tax compliance
  • Act as Board Director for certain Luxembourg entities (TBD)
  • Coordinate board activities including meetings preparation and follow up items
  • Assist in implementation of SPV structures (full incorporation process, coordination support)
  • CSSF reporting
  • Coordinate preparation of Financial Statements in different country GAAPs
  • Preparation of periodical reports to the directors / managers on the financial performance of the companies
  • Know Your Client and anti-money laundering procedures
  • Profile :

  • Good knowledge of both Corporate Secretarial and Accounting, although the former is the key to the role
  • A strong exposure to Real Estate in their work history, for some candidates we may also consider a Private Equity background
  • Previous experience as a Board member of other similar investment structures (SPVs)
  • Be happy with working in a smaller company, and motivated to that end
  • 8+ years’ work experience, but could be more senior, depending on the profile
  • Personality :

  • Good fit with the company culture, being fast growing, young, and committed.
  • Strong ability to make decisions on Luxembourg-based issues for the firm
