Job purpose
Responsible for the day to day company administration for a number of client companies
Major Duties and responsibilities
Preparation of board and committee papers
Attendance at board and shareholder meetings
Drafting of minutes of meetings
Drafting of circular resolutions
Preparation of statutory filings
Liaison with CSSFRCS Luxembourg Stock Exchange and the Luxembourg tax authorities
Ensure timely delivery of all client outputs (including those originating from outsource servicepartners)
Adopt flexible approach to ensure client deadlines are met
Recommend and / or initiate corrective action when service levels fall short of standard
Proactively work to maintain and enhance client relationships
Assist with the planning of client meetings and visits
Assist with the onboarding of new business
Ensure full functional understanding of (and compliance with) operational risk processes & controls
Identify and remediate any risk issues in accordance with internal risk policies
Assist with the preparation of procedures & checklists and ongoing review of existing procedures & checklists
Work experience requirements
Experience providing company administration support to Luxembourg domiciled companies (experience providing company administration to private equity vehicles would be advantageous)
Experience in company secretarial or legal role.
Qualifications
Working towards or willing to work towards the ICSA qualified or equivalent legal / company secretarial qualification.
