To continue our expansion drive we are hiring a Board Officer (Senior) Team Lead Corporate Investment Services The department Corporate Investment Services oversees more than 100 corporate investment structures.

Universal-Investment-Luxembourg S.A. acting as Management Company / AIFM of these structures will usually assign one of its staff to the respective boards of directors / management boards.

Your areas of responsibility : Amongst others Corporate Investment Services is responsible for the corporate life-cycle of the various corporate investment structures.

It’s also responsible for the formation of investment structures and the organisation of extraordinary and annual general meetings.

  • In addition, the team is the central point of contact for all board meetings and domiciliation issues. In your function as Board Officer : You will take over personal mandates as member of various boards of directors or management boards respectively;
  • Together with your fellow board members you will be responsible for the supervision of the fund and asset managers as well as various investment structures;
  • In your management function you will take an active role in board meetings setting the agenda and acting as chairman; You will closely cooperate with the Legal and Fund-Setup departments of Universal-Investment-Luxembourg S.

    A. as well as the Sales and Client Relationship Departments of Universal Group; You are also responsible for new standards of Board reporting packages.

  • As Team Lead of the Corporate Investment Services Team : You will be engaged in the formation process and life-cycle management of the various investment structures;
  • Maintenance of the investment structures, keeping the filings with the various authorities up to date and monitoring of deadlines;
  • Assistance in the drafting of articles of association, rules of procedure, directors and management resolutions and their implementation in the respective structure;
  • Contact person for the board of directors, management, investors, outsourcing partners or auditors with regards to corporate topics;
  • Review of fund management decisions with regards to necessary measures under company law and implementation of internal requirements;
  • Monitoring of annual reports. What you offer : Degree from a university or technical college, preferably in law or economics, or successful completion of comparable vocational training;
  • Several years of professional experience in the financial industry, preferably with experience as a board member or personal experience and expertise suitable for such board memberships.

  • It would be most beneficial if you had a CSSF approval for board membership in the past; Preferably experience as a team leader and ability to do project work, product or project management at an investment management company or bank;
  • Very good knowledge in the funds business - in particular with company secretary and setup matters. It is beneficial to have an understanding of corporate secretary tasks, Knowledge of UCITS and all typical alternative asset classes, e.

  • g. private equity, private debt, infrastructure, renewables, PE real estate. Good understanding of the functionalities of these asset classes, their business models and success / risk factors;
  • Very good knowledge of alternative investment vehicles under German and Luxembourg law; Experience in working with modern IT systems;
  • Good communication and presentation skills, both written and orally; Due to our increasingly international orientation, very good written and spoken German and English skills are required;
  • Besides professional competence, you also display great personal initiative, self-motivation, dedication, scrupulous working methods and pronounced team spirit.
