Position Overview

Siemens Internet of Things Services US is hiring a key individual to be a part of the Siemens IOT Services Mergers & Acquisitions team.

This individual contributor role will report to the Head of IOT in the US and the Head of IOT Strategic Investments in Germany.

They will be the main M&A interface for all US based transactions from target identification, through evaluations, closing and post-

merger integration. On a regular basis, they will scan the market for potential target companies and lead the preparation of the M&A business cases with support of subject matter experts.

The M&A professional will manage the deal pipeline, and drive the financial, legal, technical evaluations, operational, and integration analyses required during the M&A process.

This includes working in a highly professional manner with colleagues to conduct, synthesize and complete the commercial due diligence on targets.

They support the Head of IOT US and Head of IOT Strategic Investments and their direct reports in all stages of negotiations and prepares milestone plans for the integration phase.

The person must be familiar with post-merger integration and the necessary aspects of integrating new companies into an existing portfolio.

They drive the preparation of all required M&A documentation and are responsible for engaging with the most senior levels of management to share informed analysis and address critical questions.

Responsibilities

  • Analyze and identify potential target companies and preparation of profound project proposals jointly with the business lines
  • Shape the development of the business portfolio including establishing a deal pipeline and supporting the prioritization of M&A topics
  • Drive M&A transaction evaluation and execution, and support integration.
  • Manage and lead cross functional, collaborative, work stream execution efforts, with both local and global business executives.
  • Lead commercial due diligence activities and produce concise financial and strategic assessments of acquisition and divestiture targets.
  • Perform valuation analysis and generate financial and valuation models and the underlying rationale for deals.
  • Develop business models and prepare well-grounded business plans for M&A projects including synergy planning
  • Formulate proposals for transaction terms and support the negotiating of transactions. Produce work product in the form of presentations, spreadsheets, information memoranda, term sheets, etc.
  • Prepare detailed integration concepts and support a dedicated integration manager or act as integration manager on select transactions.
  • Develop and enhance lean and effective tools customized to the business of IoT Integration professional services for all phases of the M&A process
  • Prepare high-quality and informed documentation for investment decisions
  • Domestic and Occasional International Travel required up to 50% per work month

    Required Knowledge / Skills, Education, and Experience, What You Need to Make Real What Matters

  • Advanced degree in a related field from a leading academic institution
  • At least 5-7 years experience relevant to this position, ideally working on transactions related to the professional services, strategic consulting, solutions and systems integration markets and long term work experience in at least one sage of the M&A life cycle, i.
  • e. strategy, transaction or post-merge integration

  • Rigorous analytical skills combined with a well-structured, collaborative and bold approach
  • Profound experience performing analysis related to M&A activity, e.g. around financials, valuations, market and competition
  • Very good project management skills and ability to effectively lead cross-functional teams at all levels of the organization
  • Creative, excellent communication skills and effective in a problem-solving environment
  • Experience interacting with parties associated in transactions (e.g. bankers, consultants)
  • Ability to build informal professional networks and relationships
  • Experience in the professional services business is a plus
  • Experience in broad project management, strategy projects, M&A execution, in a large, corporate or institutional setting, is strongly preferred.
  • Understanding of internet of things professional services market landscape and competitive industry dynamics is a preferred
  • Excellent transaction analysis, financial modeling and quantitative skills are required.
  • Experience in transaction project management and due diligence is also necessary with an innate ability to drive several complex projects (at different stages) in parallel is required.
  • Advanced knowledge in presentation and financial model development with significant working experience in moderating meetings / discussions.
  • Must have demonstrated ability to effectively engage with executive stakeholders to build / foster relationships.
  • Must have excellent written communication and interpersonal skills, ability to lead and work well with team.
  • BA / BS in economics or engineering or business related field (Accounting, Finance or Economics).
  • Masters of Business Administration preferred but not required
  • Additional language skills a plus but not required (German, Spanish, French, and / or Portuguese)
