To strengthen its Legal & Compliance team, is looking to hire a Junior Legal and Compliance Officer.
As a member of the Legal & Compliance Team, you will be actively involved, collectively with the other members, in the efficient functioning of the Legal & Compliance Department within the company.
Experience
6 month to- 2 years’ experience in legal and compliance in the financial sector
Knowledge of legislation related to asset management or / and management company in Luxembourg is a must
English : Fluent, both written and spoken French : Fluent Italian : is considered as an asset
Essential
Comprehensive knowledge of the Luxembourg Asset Management regulatory framework
Good knowledge of domestic and European laws / directives (AIFMD / EMIR / CRS / MIFID II, SFTR etc.)
Knowledge of the Private Equity environment will be a plus
Ability to work in autonomy and deliver high quality work
Focused attitude to work with the ability to constantly meet deadlines while ensuring attention to details, and high levels of accuracy, work independently, polyvalent, pro-activity
The role
Preparation / review of legal documents (Agreements, Resolutions, Communications and Letters)
Identification and interpretation of all legislative and regulatory requirements that apply to the Management Company / AIFM and provide appropriate advice to the Management to ensure all upstream regulatory risk is identified in a timely manner.
Drafting of Prospectus / Offering memorandum (negotiation / communication with the CSSF)
CSSF filing and contact
Legal and corporate on boarding
Ensure compliance with laws, regulations, rules and professional standards
Due Diligence on third parties
Keep abreast of industry regulatory updates and impact assessment on Management Companies / AIFMs
Provide comprehensive support to the Head of Legal and Compliance from a legal and compliance standpoint
Draft and review agreements and other legal documents issued by the company
Provide legal advice for the operation of the company
Participate in contract negotiations
Keep abreast of regulatory developments and help ensure compliance within standard regulatory requirements
Perform AML / KYC and due diligence checks
