Responsabilités Team description : BIL’s Corporate Governance Department’s mission consists in : · Managing shareholder matters and organising shareholder meetings.
Ensuring compliance with legislative and regulatory matters concerning corporate governance. · Contributing to the definition, review and monitoring of BIL Group’s governance principles implemented in internal charters and policies.
Organizing and preparing BIL governance bodies’ meetings (e.g. Board of Directors, Board Committees, Management Board) and ensuring the recordkeeping and organization of all significant documents and records.
Monitoring the activities of BIL Group subsidiaries and branches from a corporate governance perspective and providing corporate and administrative support to BIL Group entities.
Managing the appointment of directors in line with applicable governance principles of BIL Group. · Overseeing, conducting induction trainings for newly elected directors.
Managing signature authorities of BIL (including its branches and representative offices). The trainee’s mission : The trainee's main task will be to assist the Corporate Governance Department in its day-to-day activities with a focus on administrative tasks.
For those matters and for a minimum of 6 months, the trainee will be expected to :
Support the day to day management of the files under the supervision of Corporate Officers;
Ensure efficient processing of all administrative tasks related to the corporate life of BIL Group;
Prepare corporate documentation and letters in relation to the day-to-day management of the corporate / governance matters of the Bank;
Assist the team in organising meetings (Board of Directors, Management Board / Executive Committee and Shareholder meetings) and the preparation of the related materials.
Exigences obligatoires Profile : · A 1st internship in Bank / Finance is an asset. · MS Office Suite, advanced MS Excel, Word and PowerPoint capabilities.
