SENIOR LEGAL & CORPORATE GOVERNANCE OFFICER (M / F)
DO Recruitment Advisors are delighted to represent a niche Real Estate Investment Company in their recruitment of a Senior Legal & Corporate Governance Officer.
The successful incumbent will work in a small office environment and will be responsible for all company secretarial matters.
The individual will provide legal administration and board level support for 25+ holding ;
We are looking for someone reliable and personable, that will interact well in a small team, can multitask and key source of knowledge and expertise in all aspects of legal and corporate secretarial dealings.
THE JOB :
Organizing board meetings : collating board packs, preparing agendas and invitations, taking detailed minutes, drafting resolutions and lodging required filings, ensuring follow-up on action points and circulation of executed resolutions to the board members;
Organizing annual accounts approvals including all necessary filings and publications;
Maintaining all entities registers up-to-date and proceeding to all relevant changes, updates or filings as necessary;
Working pro-actively with legal advisers and other offices on key topics and action points in relation with the life cycle of the Luxembourg entities;
On-boarding new investors from an AML / KYC Perspective;
Maintaining all AML / KYC files on an on-going basis and take care of all external enquiries as the case may be;
Providing support to the board members and to the Luxembourg office in terms of professional advice and guidance on corporate governance and best practice;
Being attuned to the changing regulatory and legal environment;
Being involved in any ad-hoc projects as required.
THE CANDIDATE PROFILE :
Proven experience of a minimum of 5 years holding company experience in a corporate services provider company, law firm or real estate / private equity investment firm;
Good command of paralegal and legal related matters;
Strong knowledge of relevant legislation and regulatory framework in Luxembourg;
Ability to deal with complexity and excellent problem-solving skills;
University graduate, preferable in law;
An excellent level in both written and spoken English. German is an advantage;
Excellent interpersonal and communication skills;
Able to build relationships easily, friendly personality;
Strong organisational skills and high attention to detail;
Positive, can-do attitude;
Able to use own initiative and be resourceful;
Able to multi-task, is hands-on and reliable.

Our client is a niche Real Estate Investment Firm. They have a small presence of four people based in Luxembourg, with 85 people ;
At the final stages of the recruitment process, the successful candidate can be asked to provide supporting documentation such as, for example, copies of diplomas or proof of previous jobs, and a standard criminal record check might also be requested.
