Description : The Fund Legal Department is primarilyresponsible for the legal work in relation to the set-up,restructuring and liquidation of investment funds (chieflydomiciled in the Cayman Islands) administered by Nomura Bank(Luxembourg) S.
A. ( NBL ). The Fund Legal Department is also incharge of company secretarial tasks for the CaymanIslands-domiciled subsidiaries of NBL as well as monitoring of thelegislations and regulations applicable to our business activities.
In order to reinforce the team in place, we are looking fora mid-level lawyer to join the Fund Legal Department. Your main tasks will be : Drafting legal documents for investmentfund set-up, restructuring and liquidation in co-ordination withpromoters, investment managers, other stakeholders and externallawyers All necessary activities in relation to the aboveincluding, but not limited to meeting participation, conferencecalls, review and execution of legal documents Communication andcoordination with various departments within NBL Safekeeping oforiginal documents and database maintenance Company secretaryfunctions for the Cayman subsidiaries of NBL Monitoring of theupdates of the relevant laws and regulations Jobrequirements : Studies in law (preferably from a common lawjurisdiction) Bar admission in any jurisdiction desirable Firstfund legal experience as a law firm lawyer or as an in-housecounsel at a financial institution Good understanding of investmentfund regulations, structures and procedures for set-ups / restructuring, especially in relation to Cayman Islands- andLuxembourg-domiciled funds General knowledge of company secretaryfunctions for investment funds’ trustee company and managementcompany Excellent command of English, both spoken and written Goodlegal drafting and analytical skills;
