Role Title : Corporate Lawyer

Role Location : Luxembourg

Role Purpose :

  • Supports Company's legal team in all aspects of delivering effective legal support
  • Focused on pan-European and international corporate matters, especially financing Group entities, financing compliance obligations, and subsidiaries management
  • Drafts, reviews and negotiates a variety of corporate agreements
  • Provides hands-on legal support and advice
  • Accountable to Senior Lawyer, Corporate
  • Key stakeholders include VP Tax, Treasury, Group Financial Controller, Group Internal Audit.
  • Key Accountabilities :

  • Acts as subject-matter expert on corporate funding matters across the organisation
  • Provides support on pan-European and international corporate matters as instructed
  • Provides sound corporate legal advice on a range of matters
  • Drafting, reviewing and negotiating corporate legal agreements, including restructuring, recapitalisation, ancillary documents, resolutions, minutes, books and records;
  • Co-ordinating and managing corporate and financing transactions, including managing external counsel
  • Engages effectively with internal clients at senior management level and provides support on legal matters as required
  • Manages workload and prioritises effectively
  • Sets clear and achievable expectations with internal customers
  • Proactively follows up on actions and deliverables
  • Delivers project completion in a timely and efficient manner
  • Evaluate and weigh multiple inputs and impacts of any decision or course of action
  • Anticipate issues and estimate risks strategically, identify proactive solutions that will eliminate or mitigate risks
  • Experience :

  • Strong corporate and commercial background in private practice or industry
  • In-house legal experience, preferably in the technology industry
  • Experience in commercially-focused legal environment
  • Experience of working effectively within a fast moving, multi-jurisdictional organisation
  • Good knowledge and experience of drafting and negotiating corporate finance and commercial contracts, preferably in a European context
  • Some familiarity with maintenance of foreign subsidiaries would be helpful
  • Familiar with European business culture, having worked previously in a multi-national organisation
  • Skills / Qualifications :

  • Qualified solicitor or barrister (PQE 3-5), in one or more European jurisdictions
  • Verbal and written fluency in English and preferably at least one other major European language
  • Ability to efficiently manage a high workload, with a multitude of projects running in parallel, setting correct expectations and ensuring timely delivery
  • Commercially minded, looking beyond pure legal issues, having regard to the overall success of the business
  • Ability to appreciate commercial, financial and strategic issues
  • Excellent interpersonal skills, with the confidence and ability to interact directly with senior management as well as at all other levels
  • Communicates clearly and fluently, negotiating and influencing where appropriate; gains respect and confidence
  • Good team player with ability to work independently
  • Adapts quickly to changing environment
