CORPORATE SECRETARY (M / F)
THE JOB :
DO Recruitment Advisors is recruiting, on behalf of one of largest asset managers globally an ambitious and enthusiastic individual with experience in corporate / fund compliance, to be based in Luxembourg.
As a Corporate Secretary you will be responsible for all regulatory matters relating to the investment activities of our client, assisting with the setup of investment vehicles in Luxembourg, on-boarding, and daily legal administration.
Ideally you will also have knowledge of real estate or alternative asset investments and understand the challenges presented by investing in direct real estate across Europe.
You will work closely with the investment team in London, reporting to and supporting the London based Head of Legal in reviewing investment opportunities and assisting with acquisitions.
Responsibilities include but are not limited to :
Assisting with the set-up of SPVs and related corporate work;
Drafting, revising and / or cross-checking fund documentation such as circular resolutions, notices to shareholders, prospectuses, articles of incorporation, PoAs etc. (in English);
Carrying out corporate secretarial work for SPVs :
o coordinating board and shareholder meetings / resolutions;
o preparing agenda and presenting documentation / actions to be approved;
o monitoring approvals.
Managing the overall administration of the corporate legal documentation ( execution, record keeping, legalization, apostille, etc.);
Following legal and regulatory developments to advise the Group on actions required to comply with local and European obligations;
Being a point of contact for external auditors ;
Answering legal questions related to the company's products, funds, and entities;
Maintaining updated structure charts of various funds and investment vehicles;
Preparing intercompany finance agreements / loan documentation involving the SPVs;
Working closely with the investment team and supporting the Head of Legal in London with :
o review of NDAs and Heads of Terms;
o high level corporate due diligence;
o review of reports from external advisors;
o closing of investment transactions;
o marketing requests, fundraising or other ad hoc projects.
THE CANDIDATE PROFILE :
Holds a degree in Law.
Has at least 3 years of relevant work experience acquired in an international multilingual environment (experience in a law firm would be an advantage).
Has strong knowledge of Luxembourg company law and the investment funds regulatory framework in Luxembourg.
Has a good understanding of the structuring of private real estate funds across Europe with the ability to work with external legal and tax providers on company setup, tax structuring and other matters.
Is fluent in English (written and spoken).
Is proficient in MS Office (Word, Excel, Outlook).
Is motivated, rigorous, well organized, and detail-oriented.
Can multitask and / or prioritize tasks for meeting deadlines.
Is reliable and driven to help and contribute to the team.
Is flexible, highly proactive and able to work independently.
