About the Role
The Corporate Legal Counsel is a position which demands high energy and self-confidence as well as pragmatism. In this position, you become a member of our Legal & Compliance Department and work in a team which is accountable for corporate governance services to various regulated and non-regulated entities across EMEA.
You report to the Head Corporate Governance EMEA.
You will be expected to :
Provide legal advice and corporate governance services to Swiss Re entities based in Luxembourg and their foreign branches and / or subsidiaries.
This includes accountability for compliance with corporate and regulatory requirements as well as with our internal governance frameworks
Be a trusted partner to our members of the board, committees and management by providing corporate and regulatory legal advice on all matters pertaining to Luxembourg laws.
Organize and manage board and management meetings and related services (including minutes taking)
Provide corporate and regulatory legal advice on all matters pertaining to Luxembourg laws with regard to (re)insurance business transactions and solutions considered or concluded by Swiss Re entities based in Luxembourg and their foreign branches and / or subsidiaries
Manage the legal aspects of group wide projects and business initiatives, including corporate restructurings and changes in operational footprint in EMEA
Monitor applicable legal and regulatory developments and interact with regulatory authorities, in particular with the Commissariat aux Assurances in Luxembourg
Develop templates, policies and processes and participate in projects to improve processes and efficiency
Prepare presentations and legal reports, conduct training
Manage outside counsel, including instructing and relationship management

About the team
We are a multi-jurisdictional team composed of legal counsels and company secretaries based in Bratislava, Luxembourg, London and Zurich, providing shared corporate governance services to EMEA legal entities and branches.
Our team is part of the Legal Reinsurance EMEA team in the Legal and Compliance Division.
You are a fully qualified lawyer with expertise in corporate and regulatory matters with at least 4 years of experience in a global financial organization or law firm preferably in the re / insurance sector in Luxembourg.
You can draft minutes, agreements, corporate documents and other business records in English to a professional standard.
A good command of French is seen as a strong asset.
You enjoy working on multiple projects in parallel and coordinate complex assignments across multidisciplinary teams and multiple jurisdictions.
You have a deep understanding of, or the ability to quickly learn and navigate, Swiss Re's organisation.
You have excellent presenting and interpersonal skills.
You are confident in your ability to drive matters independently. You demonstrate accountability, resilience when facing challenges and you are fully reliable, responsive and have high energy.
You are recognised, by clients for the pragmatic advice you provide, your sense of urgency and commercial mindset, and by colleagues for being an excellent team mate, always happy to assist others and for your good sense of humour.
