The role will focus on taking charge of all managerial duties in a hands-on manner, providing the highest level of care to our clients
and our team, ensuring smooth running of our all operations, as well as provide administrative support for our Luxembourg team.
The individual will be responsible to the Director in charge and shall assist in running and overseeing our Legal / Corporate Affairs team.
Responsibilities and tasks :
Maintenance of the complete life cycle of all domiciled entities and clients, whether regulated or unregulated;
Organisation and supervision of all customers’ operations, management of the tasks of the Corporate and Legal team, and the production of ancillary documentation;
Management / review of all corporate and legal aspects including but not limited to shareholder / investor related documentation,
Board meetings and related documentation, organising of contracts, in accordance internal procedures and in compliance with legal obligations;
Liaising with the accounting team to ensure transmission of all information on operations;
Monitoring and ensuring that the Company’s procedures are respected by the individual and the team, in the conduct of all daily business;
Critical review and approval of operations;
Review and approval of contract notes issued by the Transfer Agent;
Liaising and follow up with CSSF, legal counsels, notaries, tax authorities and all other third parties, external board members, as required;
Ensuring compliance of operations and documentation with legal deadlines and guidelines;
Drafting / reviewing of correspondence as the case may be;
Drafting of minutes for transactions
Ensuring support to the team, meticulous and prompt scanning, archiving and filing of documentation by the team in charge
Filing of annual accounts and other regulatory filings
Liaising with external Board members
Ensuring that client records are always up to date
Candidate’s Profile :
A minimum of a Bachelors’ degree in Economics, Law or Chartered Secretarial Studies;
Between 7 and 9 years of experience in the Luxembourg Corporate / Legal environment, in Fund Administration and Domiciliation services;
Strong Knowledge of Luxembourg Corporate Law, and regulations in Luxembourg;
Fluent English and French, both written and spoken,
while competence in the Italian, German, Chinese, will be advantageous. Any other language will serve as an asset;
Excellence in verbal and written communication;
Dynamic individual, with excellent presentation and a professional demeanour;
Accurate, highly motivated and able to work in an environment under pressure, and with tight deadlines;
Highly organised and proactive, with an eye for the detail;
Qualities of a Leader, and the demonstrated ability adapt in a changing environment;
Advanced knowledge and competence in Microsoft Word is essential, while basics in Excel would be advantageous.
Extremely hands on individual.
Remuneration will be in line with the experience of the individual.
