SiemensMedical Solutions USA, Inc. is seeking a well-rounded Tax Counsel to supportthe company’s tax aspects of M&A transactions, post-
acquisition integrationand other tax related special projects.
Theposition is reporting to the Head of Tax NAM.The candidate must have a law degree and an LLM in Tax.The position will be based in Tarrytown, NYor Flanders, NJ.Travel will berequired.

TheM&A Tax Counsel has the opportunity to lead key strategic initiativesfocused on value creation through the analysis and execution of beneficial tax strategies.
The ideal Candidate will have a broad taxbackground such that he or she can interface with the different tax andbusiness functions to drive a broad array of topics.
The ideal Candidate will be able to multitaskand deal in a calm and balanced way with a variety of projects both expectedand unexpected.
Duties& Responsibilities
This person in this position will be expectedto :
Work with cross functionalteams to conduct due diligence in connection with merger and acquisitionactivity.
Provide guidance andplanning to implement mergers, acquisitions and divestures in a tax efficientmanager.
Provide guidance andplanning with respect to the company’s participation in joint ventures andstrategic partnerships.
Provide tax support in post-acquisitionbusiness integration.
Interpret tax laws andrulings to resolve questions from the business and senior management.
Stay current on proposedand final tax law changes and work with strategic business partners to promoteawareness and assess potential impacts to the company from such changes
Provide appropriatetechnical tax training and career development support to other Tax Departmentmembers.
Interface with the Head ofTax, Director of Tax and other members of the Siemens Healthineers Tax functionto insure that all required statements and elections regarding transactions areproperly included in the Company’s tax filings.
Establish and maintainrelationships with outside advisors; manage interactions with outside advisors,as necessary, during the proposal and project phases of a particularengagement.
Requiredknowledge, skills, education and experience :
with minimum of 5 years in M&A Taxfield required.
Juris Doctor and LLM inTaxation required.
Ability to workindependently
Strong technical tax andanalytical skills.
Strong written and verbalcommunication skills and a proactive personality including the ability tointeract effectively within all levels of management.
