Brief :

To provide domiciliation and corporate secretary services and to perform legal monitoring for regulated or non-regulated investment companies in accordance with the laws, regulations and circulars in force.

Responsibilities and duties :

  • Preservation of official documents and management of the correspondence of investment companies;
  • Management of the administrative and legal dossiers of these companies;
  • Preparation and publication of notices of Board Meetings and General Meetings, and taking and writing up the minutes of these;
  • Ensuring mandatory legal publications in the Trade and Companies Register and on the electronic platform for Financial Data Collection;
  • Keeping the register of shareholders of certain structures;
  • Performance of the duties of corporate secretary for investment companies;
  • Coordination of invoice payments, requesting ISIN codes;
  • Maintenance and development of customer relationships.
  • Your profile :

  • Holder of a university degree in Law and / or Economics;
  • Three years' previous experience in a similar role, with experience in the area of Private Equity / Real Estate funds or funds administration;
  • Good knowledge of company law, familiarity with the legal and regulatory environment : law on commercial companies, UCITS, SICAR, SIF, etc.;
  • Sense of responsibility, organised, thorough and hard-working. You have a sense of initiative and are able to work independently;
  • You want to be part of an expanding business in order to satisfy an international clientele, and are not afraid of challenges;
  • Fluent in French and English, German would be an advantage.
  • N.B. : In order to meet the "fit and proper" criteria provided for in Article 45 of CSSF Regulation No. 12-02 of 14 December 2012 on combating money laundering and the financing of terrorism, candidates concerned will be asked to produce a recent extract from their "judicial record" no later than their first day of employment.
