Junior Legal Counsel - Corporate & Finance

  • Liaise with relevant contacts based in other SES locations for the organization and management of affiliates managed out of these locations
  • Ensure compliance with corporate legal requirements for all Betzdorf (Luxembourg)-managed entities
  • Company secretarial work in relation to setting-up new SES entities
  • Handle of legal aspects related to treasury and finance operations
  • Be a contact person for all corporate and administrative documents and information requested (externally as well as internally)
  • Draft, review and comment on intercompany contracts
  • Research and draft memoranda on corporate law matters
  • Liaise with specialized outside legal advisors when necessary
  • Monitor the evolution of legal and corporate related issues in Luxembourg, be aware of any change in law / public policy
  • Assist the VP Legal Services, Corporate and Finance in the framework of tax and corporate reorganizations (including mergers and liquidations) as well as compliance related matters
  • Assist in transactional, joint-venture and M&A due diligence reviews, document preparation and negotiations, ensuring compliance with applicable national and international laws and regulations
  • Assist in drafting, reviewing and negotiating complex Development agreements in support of a broad spectrum of development and business activities

  • Your Qualifications & Experience

  • Graduated from studies in law (minimum M2 or LL.M)
  • A first experience gained as an intern or junior lawyer within a law firm or corporate legal function would be an asset
  • Demonstrated interest in Corporate law
  • Strong interest in the media / telecommunication business
  • Computer literacy (Word, Excel, PowerPoint)
  • Fluency in English. French or German is an advantage and additional European languages are considered an asset
  • Excellent English drafting skills are necessary
