Principal Duties and Responsibilities :

Corporate tasks

The role would report to the Finance function but would work very closely with Finance, Legal and Tax teams in Luxembourg, Tampa Florida, USA, Delhi India and Hong Kong and Beijing in China. Tasks would include :

  • Drafting board agendas and minutes, convening notices, power of attorneys
  • Board and Committee meetings co-ordination, preparation and attendance
  • Annual accounts approval and filing compliance of Group entities across jurisdictions
  • Assisting finance, tax, treasury and other internal departments on corporate governance matters
  • Providing support in preparation for and closing of corporate transactions / acquisitions / mergers / liquidations / opening of bank accounts and KYC compliance
  • Responding to requests for corporate information, maintaining company records, minute books, share registers and structure charts
  • Processing appointments and resignation of directors, administration of signatory lists, arranging notarisation and legalisation of documents
  • Interaction with senior executives, directors, notaries, auditors, external counsel
  • Contracts and contract administration

    The role would also work with the Legal department in Luxembourg and the USA, to provide holiday and sickness cover for the Legal Administrator on contract related matters. This role would include :

  • Commercial contract administration including processing contracts through the IT contract lifecycle software tool
  • Ensuring timely and correct execution of all commercial contracts
  • Circulating signed copies, maintaining agreements register, responding to contract related queries
  • Office administration

    In addition the role would provide administrative support to the Finance, Tax and Legal teams :

  • In conjunction with the office manager dealing with DHL, courier and postal matters for the team
  • Issuance of corporate credit cards
  • Handling legal fees form external counsel and coordinating with Account Payable to ensure these are paid
  • Creation of new supplier registration forms in conjunction with Accounts Payable
  • Getting approval for services and goods received from vendors in EMEA
  • Obtain Tax Residence Certificates
  • Organizing finance team meetings
  • Job Requirements :

  • University degree preferably with some legal background
  • Minimum of 3 years of experience of corporate, contracting matters; preferably 5 years
  • Able to work well independently as well as part of a team, in an international environment
  • Excellent communication, organizational and analytical skills
  • Adaptable, collaborative, initiative taker
  • Ability to deal professionally at all levels, dealing with complex matters and producing high standard of work
  • IT literate and skilled in Microsoft software applications
  • Languages :

    Business level English, French & German are required, other languages a bonus
